Terms and Conditions of Sale

Subject to the terms and conditions herein, buyer shall have the non-exclusive right to sell, lease, market or otherwise dispose of data storage products, hardware, software and accessories purchased through DIGISTOR, a division of Sunland International, LLC.

PURCHASES:
Purchaser acknowledges that it is an independent purchaser or reseller of products and not an exclusive distributor. Purchaser shall not be considered an agent or legal representative of DIGISTOR.

ORDERS:
All purchase orders shall be issued by an officer, principal or authorized agent of the buyer. By placing each order, the buyer confirms its agreement with and acceptance of all terms and conditions listed herein. Orders are subject to acceptance by DIGISTOR and may be refused for any reason.

PRICES:
Prices are subject to change without notice and prices charged will be those prevailing at time of shipment unless previously agree to in writing by DIGISTOR. All prices are F.O.B. DIGISTOR's shipping point unless otherwise agreed in writing.

PAYMENT TERMS:
Unless otherwise agreed, payment is due in full prior to shipment. Should DIGISTOR elect, in it's sole discretion, to extend net credit terms to buyer, monies owing on all orders are due and payable in accordance with the terms of the applicable invoice. Occasionally, DIGISTOR may offer a discount for early payment, which will be indicated on the invoice. Such discounts are offered at the sole discretion of DIGISTOR and can be changed or cancelled at any time. If buyer elects to take the discount, there shall be no grace period and payment must be received by DIGISTOR within the allotted number of days from invoice date. If payment is received after the allotted days, the discount will not be honored and buyer shall be responsible for the original invoice amount. A $30 fee will be added to all account balances for each returned check. A late charge of 1.5% per month will be added to any amount not paid within the terms of the invoice.

FREIGHT POLICY:
Unless otherwise agreed in writing, all orders shall be F.O.B DIGISTOR's shipping point. All transportation, insurance, handling and freight charges shall be borne by buyer. Buyer shall have the right to appoint a carrier of their choice. Should buyer elect not to appoint a carrier, buyer hereby authorizes DIGISTOR to appoint a carrier to act as buyers' agent to accept title and possession of merchandise on behalf of the buyer at DIGISTOR's shipping point. Risk of loss on all shipments passes to buyer upon DIGISTOR's placement of product with a common carrier or delivery service. Claims for missing or damaged shipments are the sole responsibility of the customer and must be reported and receipted, according to the facts, to the carrier at the time of receipt. If hidden damage is found upon opening, the customer shall be responsible for reporting same to the carrier and retaining packaging for carrier's inspection. Any claim for missing or damaged products must be made within 3 days of delivery.

CANCELLATIONS:
Buyer shall not be able to cancel, reduce, reconfigure or reschedule orders without DIGISTOR's consent, which shall not be unreasonably withheld. Orders for special-order or custom parts, value-added services and products identified by DIGISTOR as non-standard may not be canceled or returned.

WARRANTY:
All products carry a manufacturers warranty unless otherwise noted. DIGISTOR makes no warranty, implied or expressed, and is not liable for any incidental, consequential or other damages of any kind. In no event shall DIGISTOR's liability to buyer exceed the purchase price of the product.

RETURNS:
DIGISTOR will make every reasonable effort to accommodate return requests. In order to return products to DIGISTOR, you must first obtain a RMA number by returning the DIGISTOR RMA Request Form; return requests will be reviewed within 48 hours of receipt. For warranty or repair service on all Panasonic Optical Drives, please download and complete the Panasonic RMA Request Form and send directly to BigByte Corp at Fax 510-657-5715. No returns will be accepted without a RMA number. Please review the return policy prior to submitting a return request.

Non-Defective Returns
All Non-Defective returns will be accepted at the sole discretion of DIGISTOR management. Return of non-defective product must occur within 15 days of invoice date and is subject to a minimum 15% restocking fee. Non-defective returns must be unused and in original condition and packaging or they will be returned at buyers expense. DIGISTOR does not guarantee compatibility with any product or system and can not accept returns of used products. Certain items such as recordable media and software may not be returned.

Defective Returns
Returns for DOA or defective products within the warranty period shall be repaired or replaced in accordance with manufacturers guarantee. In some cases, buyer may be directed to return product directly to the manufacturer or their appointed agent for repair or replacement. DIGISTOR will make all reasonable attempts to prioritize DOA returns; however this shall be subject to manufacturer warranty restrictions. If a returned product is found to be non-defective, it will be returned to the buyer at the buyer's expense.

All Returns
All returns must be properly packaged and shipped with freight and insurance prepaid to the address provided, with the RMA number clearly marked on the shipping label or outside carton. All items will be inspected and tested upon receipt. Any discrepancy, missing parts or altered products will be returned to the customer without credit or be subject to additional restocking fees. Products returned without prior authorization (RMA#), beyond the warranty period, or without proper packaging will be refused. All freight, customs, tariffs, etc. for shipments outside the continental USA shall be the sole responsibility of the purchaser. All defective products shall be returned in accordance with manufacturers guarantee. In some cases, buyer may be directed to return product directly to the manufacturer or their appointed agent for repair or replacement of defective goods. If a product is found to be non-defective, it will be returned to the buyer at the buyer's expense.
